Terms of Service

1. Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ICM Motion GmbH, a company registered under the laws of Germany ("Company," "we," "us," or "our"), governing your access to and use of the AGNT platform, including the website at agntdot.com, the AGNT progressive web application, API integrations, and all related services (collectively, the "Service").
By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
We may update these Terms. Material changes will be announced in the Service or by email at least 30 days before they take effect. Continued use after that date constitutes acceptance.
2. Eligibility & Account
You must be at least 18 years old to use the Service. You are responsible for the accuracy of the information you provide and for keeping your account credentials confidential. Notify us at legal@agntdot.com if you suspect unauthorised access.
Accounts are personal and non-transferable. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are fraudulent.
3. The Service
AGNT provides an AI agent you reach through Telegram, WhatsApp, Instagram, or our web app. Features include:
- Venue discovery and booking facilitation
- Calorie scan and food diary
- Dupe Search product identification
- Transport deep links and courier booking
- Social features (follow, taste graph)
Business Users may also use a venue administration dashboard to manage their listings, bookings, and analytics.
4. Acceptable Use
You agree not to:
- Send spam, unsolicited bulk messages, or otherwise abuse messaging channels
- Automate interactions with Meta (WhatsApp, Instagram) or Telegram in a way that violates their terms of service
- Scrape, crawl, or extract data from the Service or from third-party venues listed through the Service
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
- Harass, threaten, or impersonate other Users or third parties
- Circumvent usage limits, rate limits, or access controls
- Use the Service to produce, store, or transmit illegal content, including content that depicts the abuse of minors
- Resell or redistribute AI-generated output for commercial purposes without our prior written consent
We may investigate suspected violations and, where appropriate, suspend or terminate accounts. We will cooperate with law-enforcement requests that are lawful and properly documented.
5. AI Output Is Not Professional Advice
The AI agent produces suggestions, not professional advice. Calorie estimates, ingredient breakdowns, product comparisons, venue recommendations, and any other AI-generated content may be inaccurate, incomplete, or out of date. They are not a substitute for medical, nutritional, legal, financial, or travel advice from a qualified professional.
You use the Service at your own discretion and risk. You are solely responsible for decisions you make on the basis of AI-generated content.
6. Bookings
AGNT facilitates bookings at third-party venues. When you book through the Service, your contract for the hospitality service is with the venue, not with AGNT. We do not guarantee availability, quality, or that a booking will be honoured.
Cancellation and no-show policies are set by each venue individually. Review the venue's policy before confirming.
7. Subscriptions & Pricing
All payments are processed through Stripe, Inc. By subscribing to a paid plan, you authorize Stripe to charge your selected payment method on a recurring monthly basis.
Subscriptions automatically renew at the end of each billing cycle unless cancelled. You may cancel your subscription at any time through your account settings or by contacting us at legal@agntdot.com. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.
We do not offer refunds for partial billing periods. If you cancel mid-cycle, you will not be charged for the next period, but no pro-rata refund will be issued for the remaining days of the current period.
All payments are processed by Stripe. By subscribing, you authorise Stripe to charge your payment method on a recurring basis at the interval you selected.
8. Cancellation & Refunds
You may cancel your subscription at any time through your account settings or by contacting us at legal@agntdot.com. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date.
14-day cooling-off for new subscriptions: if you are a consumer signing up for a new paid plan and you request a refund within 14 days of your first charge on that plan, we will refund that charge in full, provided you have not materially used paid-only features during that period.
Outside of the cooling-off window, we do not offer pro-rata refunds for partial billing periods. If a payment fails, we may retry the charge and suspend access to paid features until the issue is resolved.
Nothing in this section limits mandatory consumer protections available to you under the law of your country of residence.
9. Intellectual Property
The Service, its design, software, text, graphics, logos, and trademarks are owned by ICM Motion GmbH and protected by applicable intellectual-property law. You are granted a limited, non-transferable, non-exclusive licence to use the Service in accordance with these Terms.
Content submitted by a venue for display on its own profile — menus, photos, descriptions, operational information — remains the property of that venue. AGNT holds only a licence to display and process that content to operate the Service.
You retain ownership of content you submit (messages, photos, profile information). By submitting it you grant us a non-exclusive, worldwide, royalty-free licence to store, process, and display that content solely as needed to operate and improve the Service.
10. Privacy
Our handling of personal data is described in the Privacy Policy. By using the Service you acknowledge that message content you send through connected channels is processed by our AI systems to deliver the Service.
11. Third-Party Services
The Service integrates with third parties including Stripe, WhatsApp, Telegram, Instagram, Shopee, Tokopedia, Lazada, Grab, GoJek, Uber, Lalamove, and others. Those services are governed by their own terms. We are not responsible for their availability, content, or practices. Your use of them through AGNT is at your own risk.
12. Limitation of Liability
To the maximum extent permitted by applicable law, ICM Motion GmbH and its officers, directors, employees, agents, and affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service.
AI output is provided as suggestion only (see section 5). We are not liable for damages caused by decisions you made on the basis of AI-generated content.
Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100). Some jurisdictions do not permit certain exclusions; in those jurisdictions our liability is limited to the fullest extent allowed.
13. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure.
14. Indemnification
You agree to indemnify and hold harmless ICM Motion GmbH and its affiliates from any claims, damages, or expenses arising out of (a) your use of the Service, (b) your violation of these Terms, (c) your violation of third- party rights, or (d) content you submit through the Service.
15. Termination
You may terminate your account at any time through your settings or by contacting legal@agntdot.com or through your account settings. Upon termination, your right to use the Service ceases immediately.
We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violations of these Terms, fraudulent activity, non-payment, or extended inactivity.

16. Governing Law
These Terms are governed by the laws of the Republic of Indonesia, without regard to its conflict-of-law principles. Mandatory consumer-protection laws of your country of residence continue to apply where they offer you greater protection.
17. Dispute Resolution
For any dispute, please first contact us at legal@agntdot.com. We will make good-faith efforts to resolve the issue within 30 days.
Disputes that cannot be resolved informally shall be submitted to the jurisdiction of the courts of Denpasar, Bali, Indonesia, subject to any mandatory consumer-forum rights you have in your country of residence.
Consumers in the European Union may alternatively use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. We are not obliged to participate in arbitration before a consumer arbitration board.
18. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in force. The invalid provision is modified to the minimum extent needed to make it valid while preserving its original intent.
19. Entire Agreement
These Terms, together with the Privacy Policy and any feature-specific terms presented at the point of use, constitute the entire agreement between you and AGNT regarding the Service.
